Wire to Wire Terms of Service

1. Acceptance of Terms

Welcome to Wire to Wire.

Wire to Wire ("Service") is owned and operated by NORYN, LLC, a Missouri limited liability company ("Company," "we," "our," or "us").

By accessing, creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms of Service ("Terms") and acknowledge our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Wire to Wire is a darts scoring and statistics application that allows users to record matches, track scores, calculate statistics, maintain player records, review match history, and participate in leagues and competitions.

The Service is provided for informational and recreational purposes and is not an official authority for match verification or tournament adjudication.

3. Eligibility

You must be at least 13 years old to use the Service. By using Wire to Wire, you represent that you meet this requirement and are legally able to enter into this agreement.

You must be at least 18 years old (or the age of majority where you live) to purchase a subscription. A parent or legal guardian may purchase a subscription for a user who is under that age and is responsible for all charges and for that user's compliance with these Terms.

4. User Accounts

You agree to provide accurate information, keep your email address current, protect your account and password, accept responsibility for account activity, and notify us immediately if you believe your account has been compromised.

5. Free and Premium Plans

Wire to Wire offers a Free plan and a paid Premium plan. The features included in each plan are described in the app when you choose a plan. Scoring with the Free plan does not require payment.

We may add, change, or remove features from time to time. We will not materially reduce the core features of Premium during a year you have already paid for; if we do, you may ask for a prorated refund of the unused portion of that year.

6. Premium Subscriptions, Automatic Renewal and Billing

Price and term. Premium costs $25.00 USD per year. Prices are in U.S. dollars. If we are ever required to collect sales or similar taxes where you live, we will show them before you pay. Your subscription term is one year, starting on the date of purchase.

Automatic renewal. YOUR PREMIUM SUBSCRIPTION RENEWS AUTOMATICALLY FOR SUCCESSIVE ONE-YEAR TERMS UNTIL YOU CANCEL. By subscribing, you authorize us, through our payment processor, to charge the payment method on file the annual subscription price, plus any applicable taxes, at the start of each new term, on or about the anniversary of your original purchase, without further action by you, until you cancel.

Consent. Before you pay, we show you the price, the renewal terms, how to cancel and this refund policy, and we ask you to agree to these Terms. You give your consent by completing checkout.

Confirmation and reminders. After you subscribe, you will receive an email confirmation and receipt. Before each annual renewal, we will send a reminder email to the address on your account that states the renewal date, the amount that will be charged, and how to cancel. Receipts are also sent after each renewal.

Price changes. If we change the Premium price, we will notify you by email at least 30 days before the change applies to you. A new price applies only from your next renewal, and you may cancel before that renewal to avoid it.

Payment processing. Payments are processed by Stripe, Inc. ("Stripe"). Your payment information is collected and stored by Stripe and is subject to Stripe's terms and privacy policy. We do not receive or store your full card number or security code. You agree to keep your payment information current. You can update your payment method at any time under Profile > Manage billing.

Failed payments. If a renewal payment fails, we or Stripe may retry the charge. Premium may continue for up to 7 days while the payment is retried. If the payment is not completed, Premium ends and your subscription may be cancelled. You remain responsible for any amounts you authorized and that are due.

7. How to Cancel

You can cancel at any time, online, as easily as you subscribed:

1. Sign in to Wire to Wire and open Profile.
2. Select Cancel subscription.
3. Confirm by selecting Cancel subscription again.

You can also cancel from Profile > Manage billing, or by emailing support@wiretowire.app from the email address on your account. We will cancel your subscription and confirm by email.

Cancellation takes effect immediately for future billing: your subscription will not renew and you will not be charged again. You keep Premium until the end of the current year you have already paid for. After that, your account moves to the Free plan. Your account, scores and match history are not deleted when you cancel, and you may subscribe again at any time.

To avoid being charged for the next year, cancel before your renewal date. If your most recent renewal payment has failed, cancelling ends Premium immediately and stops any further attempts to charge you.

8. Refund Policy

All subscription payments are final and non-refundable. When you cancel, we do not provide a full, partial, or prorated refund or credit for the remainder of the year you paid for, for unused features, or for periods when you did not use the Service.

The only exceptions are:

• a duplicate charge or a billing error made by us;
• a material reduction of Premium features during your paid year, as described in Section 5;
• termination of your account or of the Service by us without cause, as described in Section 17; and
• any refund required by applicable law.

To report a billing problem, email support@wiretowire.app. Please contact us before disputing a charge with your bank so we can resolve it quickly.

9. Electronic Communications

You agree that we may provide agreements, notices, receipts, renewal reminders, and other communications to you electronically, by email to the address on your account or within the Service, and that these electronic communications satisfy any legal requirement that they be in writing. Service and billing emails are part of your account and cannot be turned off while you have an account or an active subscription. Optional emails, such as match summaries, can be turned off in Profile.

10. Player Data and Match Information

You are responsible for the accuracy of scores, match results, player information, league information, and statistical records entered into the Service. Wire to Wire does not independently verify user-entered information.

11. User Content

You retain ownership of content you submit, including player names, league information, match notes, comments, profile information, and images. By submitting content, you grant NORYN, LLC a non-exclusive, worldwide, royalty-free license to store, display, reproduce, and distribute it solely to operate and improve the Service. You represent that you have the right to submit the content you provide, including information about other players.

12. Scorekeeping and Statistics Disclaimer

We strive to provide accurate calculations and reporting; however, we do not guarantee accuracy of entered scores, statistics, match results, historical records, or data synchronization. Users should independently verify important information.

NORYN, LLC is not responsible for losses, disputes, or decisions resulting from inaccurate information entered into the Service.

13. Prohibited Conduct

Users may not violate applicable law, attempt unauthorized access, reverse engineer the Service, upload malicious code, harass or abuse others, impersonate another person, misuse payment methods, or interfere with operation of the Service. Violations may result in suspension or termination.

14. Intellectual Property

Wire to Wire and related software, branding, code, graphics, designs, functionality, and content are owned by NORYN, LLC unless otherwise noted. No portion may be copied, redistributed, or commercially exploited without written permission.

15. Third-Party Services

The Service uses third-party providers for hosting, database and authentication (Supabase), payment processing (Stripe), and email delivery (Resend). Your use of those features may also be subject to the providers' terms. We are not responsible for the availability or actions of third-party services, but we choose providers that follow industry security standards.

16. Service Availability

We do not guarantee uninterrupted access. The Service may be updated, modified, suspended, or discontinued at any time. If we permanently discontinue Premium, we will give you reasonable notice and refund the unused portion of any year you have paid for.

17. Termination

You may stop using the Service and request deletion of your account at any time. Deleting your account cancels any active subscription; no refund is given for the remainder of a paid year.

We may suspend or terminate your access for violations of these Terms, fraud, or misuse of payment methods; in that case no refund is given. If we terminate your account without cause, we will refund the unused portion of any year you have paid for.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORYN, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORYN, LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. NORYN, LLC'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE USER TO ACCESS THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless NORYN, LLC from claims, losses, and expenses, including reasonable attorneys' fees, arising from your misuse of the Service, content you submit, or your violation of these Terms or the rights of others.

21. Your Consumer Rights

Nothing in these Terms limits any rights you have under consumer protection laws that cannot be waived or limited by contract. If a law where you live gives you additional rights, such as a different notice or cancellation right, those rights apply.

22. Changes to Terms

We may modify these Terms from time to time. For material changes, including any change to subscription, renewal, cancellation or refund terms, we will notify you by email or in the app and ask you to accept the updated Terms before you continue using your account. Changes to pricing follow Section 6. Other changes take effect when posted, and continued use after that constitutes acceptance.

23. Dispute Resolution and Governing Law

If you have a concern, please contact us first at support@wiretowire.app. We will try to resolve it informally within 30 days.

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules, except where the law of your place of residence requires otherwise. Any dispute arising under these Terms shall be resolved in a court of competent jurisdiction located in Missouri, unless applicable law entitles you to bring it where you live. Either party may bring an eligible claim in small claims court.

24. General

These Terms and our Privacy Policy are the entire agreement between you and NORYN, LLC about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
